MEMBERSHIP AGREEMENT
Effective date signed and submitted.
This Membership Agreement (the "Agreement") is between BxB Professionals LLC ("BxB" or "Community"), 66 Burton Ave, Plainview, New York 11803 — accessible via www.BxBpros.com — and you, the applicant ("You", "Member"). By selecting I Agree you represent that you have read, understand, and agree to be bound by all terms below.
Notifications
All membership notifications shall be delivered by email to the address in your profile. It is your sole responsibility to maintain a valid email address and ensure BxB emails are not directed to spam or junk folders.
Non-Discriminatory — General Code of Ethics
BxB does not unlawfully discriminate against any potential or current member because of race, religious creed, color, national origin, ancestry, physical or mental disability, medical condition, gender, genetic information, or marital status.
Members are expected to uphold the BxB Code of Ethics:
- I commit to delivering the level of service promised at agreed-upon prices.
- I pledge to be honest and transparent in my dealings with members and their referrals.
- I aim to cultivate trust and goodwill within the community.
- I will assume responsibility for promptly following up on any referrals I receive.
- I endeavor to maintain a positive and supportive attitude in all interactions.
- I will adhere to the ethical standards inherent in my profession.
Member Guidelines
Final authority regarding BxB General Policies lies with the Membership Committee of each chapter. Committees may place a member on probation or open a member's category for failure to adhere to policies, the Code of Ethics, or BxB Core Values. Only one individual per category is allowed per chapter. Punctuality is essential — members must arrive on time and stay for the entire published meeting. Membership is exclusive to one chapter. Members are allowed four absences per continuous six-month period. A substitute may be sent without counting as an absence, but cannot substitute for more than the majority of meetings within a calendar quarter.
User Registration
Members shall provide correct information in the registration form and promptly update their profile to maintain accuracy. Members are responsible for all use of the Site made under their username and password and for maintaining confidentiality of those credentials.
Content and Conduct
Members are accountable for their use of the BxB Site and Services, and for any content furnished, ensuring adherence to applicable laws, rules, and regulations. BxB reserves the right to remove content believed to be infringing or in violation of these terms without prior notice. Users shall conduct themselves in a lawful, ethical, and professional manner at all times. The following are strictly prohibited: false or disparaging statements about BxB or its members; unauthorized use of BxB trademarks; violation of any federal, state, or local laws; and spamming.
Release
If a member has a dispute with one or more other members or administrators, the member releases BxB Professionals LLC, its officers, directors, agents, subsidiaries, joint ventures, and employees from all claims, demands, and damages of every kind arising out of or in any way connected with such disputes. BxB Professionals LLC may terminate any member's membership at any time for any reason, including but not limited to failure to follow the Code of Ethics, not maintaining chapter requirements, nonpayment of dues, or conduct causing embarrassment to the Community.
Privacy
BxB shall not sell or rent members' personal information to third parties without explicit consent. All data, information, pictures, etc., populated into the website or mobile app shall become property of the Community.
Indemnity
Member shall indemnify and hold BxB, its officers, directors, agents, subsidiaries, and employees harmless from any claim or demand, including reasonable attorneys' fees, arising out of the member's breach of this Agreement or violation of any law or third-party rights.
Limitation of Liability
BxB shall not be liable for direct or indirect damages of any kind, including incidental, punitive, or consequential damage arising out of or in connection with this Agreement, the Site, or the Services.
Membership Fees, Refunds, and Termination
All applicants must be reviewed, interviewed, and approved by the individual chapter Membership Committee. Paying for membership online does not imply acceptance. Upon acceptance, fees are non-refundable without exception. An initial application fee is required, with annual fees payable thereafter. Membership fees must be paid 30 days before the due date. Members who fail to make payment by the first day of the due month will be considered late and subject to a late charge. If fees remain unpaid after 15 days, the member will be officially dropped by BxB. A minimum $35 returned check fee will be assessed for all returned checks.
Defamation Protection
Members shall not engage in making, publishing, or disseminating any false, defamatory, or disparaging statements — whether oral, written, or electronic — about BxB Professionals LLC, its affiliates, or chapters; other members or their businesses; or officers, directors, and employees. Members agree to address grievances through the established dispute resolution mechanisms before escalating issues publicly. Violations may result in disciplinary action including suspension, termination, and legal remedies.

Governing Law
This Agreement shall be construed under the laws of the State of New York. Any dispute shall be resolved under the commercial arbitration rules of the American Arbitration Association.
